The sixth edition of this textbook incorporates significant developments in bank and financial services legislation and regulation that have occurred through June 2021, including the regulatory initiatives of the Trump administration under the Dodd-Frank Act. Organized into three thematic Parts, the book aims to facilitate classroom discussion.

Part One provides an overview of the depository bank business model, the dual banking system, and its layered regulatory structure, including the roles of financial holding companies, bank subsidiaries, and nonbank affiliates active across financial markets. It emphasizes that, despite the majority of depository institutions being thrifts, credit unions, and community banks, consolidation and conglomeration have resulted in a few large banking organizations holding the majority of bank assets, presenting unique regulatory challenges.

Part Two delves into prudential supervision of banks and their holding companies, reflecting the distinctive demands created by deposit-taking, credit creation, and liquidity intermediation. Post-crisis reforms have significantly altered this aspect of regulation. The materials highlight the various ways in which banks finance their activities, including accepting insured deposits, borrowing at market rates from wholesale lenders, utilizing government funds exclusively available to banks, and raising equity capital from investors. The discussion underscores how, in addition to meeting market capital requirements applicable to all businesses, banks navigate complex regulatory standards that promote liquidity, limit leverage, and foster the ability to absorb unexpected losses.

Part Three surveys the diverse range of specialized financial services offered by banks and their holding companies.
